Microsystems, with offices in the United States and the United Kingdom, markets products for the legal, services and life sciences industries. DocXtools and DocXtools Companion products are designed for lawyers and offer tools for editing, formatting, and proofreading documents in Word. A former lawyer for Linklaters and a former lawyer for Simmons and Simmons made their fortune after selling their proofreading office for $10 million. Former Simmons & Simmons attorney Stephen Scanlan founded “XRef” in 2009 to automatically check that terms defined in documents were capitalized and spelled correctly, to identify definitions that were not used, and to capitalize undefined terms. Together with former Linklaters attorney Travis Leon, they introduced it to the wider market in 2012. At the time, Leon told RollOnFriday, “If it works, I have absolutely no intention of going back to the lawyer.” It worked. By 2016, XRef had acquired more than 20,000 users and the Magic Circle companies as customers. Next, K1 Investment Management, a U.S. private equity firm, approached the company with a takeover bid.

“We were a bit surprised,” Leon and Scanlan told RollOnFriday, but “really happy with the result.” Within a month, the couple, along with co-founder Ben Scammel, had sold the company for about $10 million and were multimillionaires. Our organizations are the two forces that have built this market. We realized that together we would be better served the market and customer needs. As co-founder of XRef, my goal was to help law firms around the world make better use of technology to meet the growing demands of the legal industry. Working with Microsystems will accelerate this goal by leveraging the strengths of both our organizations. Scanlan has now launched two new technology companies, one of which will revolutionize time tracking. “There`s so much room for innovation in legal tech,” he said, “which is still far behind FinTech.” Leon has joined K1, where he claims to manage 300 employees. He said it was “great to now have the resources to support my entrepreneurial passions without having to bear all the risks and without having to worry about paying the rent!” When Leon`s classmates were informed of her success by Nottingham Law School, she reacted with a mixture of jealousy and anger. Linklaters and Simmons & Simmons are now both XRef customers. Proofreader is a Word add-in that identifies different types of design errors. In particular, it finds and helps correct errors with defined terms, such as not capitalizing a defined term or configuring a defined term but never using it. The companies, Microsystems and XRef, have both developed Microsoft Word proofreading add-ons for lawyers and say their merger will allow them to bring even better technology to market.
